1. Introduction
These Terms of Service (“Terms”) govern your use of the services provided by Rainlight AI (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you should not use our services.
2. Services
Rainlight AI provides AI automation consulting and implementation services. Our services include automation audits, custom AI agent development, workflow automation, WhatsApp Business integrations, SMS communications via authorized platforms, and ongoing system optimization for businesses.
3. Engagement Terms
All engagements begin with an initial automation audit. Project scope, timelines, and deliverables are defined in a separate Statement of Work (SOW) agreed upon before any project commences. Typical deployment timelines range from 7–60 days depending on scope.
4. SMS Communications
If you opt in to receive SMS messages from Rainlight AI, you agree to the following terms:
- You have explicitly consented to receive text messages from Rainlight AI via an opt-in mechanism on our website or other authorized channels.
- Message frequency will vary based on your engagement and the services you have subscribed to.
- Message and data rates may apply depending on your mobile carrier.
- Reply HELP for assistance or STOP to opt out at any time.
- Consent to SMS messaging is not required as a condition of purchasing any service.
- Opting out will not affect your other business relationship with Rainlight AI.
- SMS opt-in data and consent will not be sold or shared with third parties for their marketing or promotional purposes.
Rainlight AI uses Twilio and other authorized application-to-person (A2P) messaging platforms to deliver SMS communications. All SMS campaigns are registered in compliance with applicable carrier requirements, CTIA Messaging Principles and Best Practices, TCPA regulations, and 10DLC registration requirements.
5. WhatsApp Business Communications
We may use WhatsApp Business API to communicate with you for specific business purposes, including customer support, service updates, automation notifications, and project communication. By initiating a conversation with us on WhatsApp or opting in to WhatsApp communications, you consent to receive messages from Rainlight AI through this channel.
AI-powered responses on WhatsApp are restricted to specific, purpose-driven business tasks (e.g., lead qualification, support routing, project updates). We do not deploy open-ended, general-purpose AI chatbots, in compliance with Meta's Platform Terms.
You may opt out of WhatsApp communications at any time by sending “STOP” or contacting us at [email protected].
6. Guarantee
We offer a 14-day results guarantee: if you do not see measurable results within 14 days of deployment, we will provide a full refund. Measurable results are defined in the project SOW. This guarantee is subject to the terms set forth in the applicable SOW and requires that the client provides the necessary access, data, and cooperation required for deployment.
7. Intellectual Property
Upon full payment, clients receive full ownership of all custom automation systems, workflows, and integrations built for their business. Rainlight AI retains the right to use anonymized methodologies and frameworks in future work.
8. Data Protection and Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data.
We comply with applicable data protection laws, including but not limited to:
- GDPR (General Data Protection Regulation) — for clients and users in the European Economic Area and United Kingdom.
- CCPA/CPRA (California Consumer Privacy Act / California Privacy Rights Act) — for clients and users in California, United States.
- TCPA (Telephone Consumer Protection Act) — governing SMS and telephone communications in the United States.
- Meta Platform Terms — governing our use of WhatsApp Business API and related Meta services.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Rainlight AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total aggregate liability shall not exceed the total fees paid by you for the specific service giving rise to the claim during the 12 months preceding the event.
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited.
10. Acceptable Use
You agree to use our services only for lawful purposes. You may not use our SMS, WhatsApp, or other messaging services to send unsolicited, fraudulent, or illegal communications. You are responsible for ensuring that all recipients have provided appropriate consent to receive messages as required by applicable law, including TCPA, GDPR, and 10DLC regulations.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or the competent courts.
For clients in the European Union: nothing in these Terms affects your statutory rights as a consumer under EU law, including the right to bring proceedings in the courts of your country of residence and the right to lodge a complaint with your local data protection authority.
12. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of our services after any modification constitutes acceptance of the updated Terms.
